The History of Group Five:
We are a prototype
design firm; an
In 2004 we retooled
three GTO’s in four months with two complete different designs and production
molds for GM displayed at the SEMA show (Cover cars for High performance
Pontiac Magazine). These designs are in
current production.
Since that time our
company has pursued Chrysler to obtain their business. In 2006 Group Five was
selected from 3000 submission to receive one of the twelve Chrysler sponsored
image vehicles. Working directly with Chrysler and Evernham Motorsports (the NASCAR
team) this truck went on to become The Mega Low show truck see (www.TheMegalow.com). This vehicle was featured on
Dodge.com, Truckin Magazine, Mopar Action Magazine, Popular Hot Rod, SEMA news
and numerous other media and internet publications. The G5 Challenger has already been featured
on the covers of Mopar Action and Mopar Collector’s Guide Magazines and Hot Rod,
Road & Track and Car & Driver have already made SEMA photo plans.
Current Plan:
Group 5 has chosen to
pursue interests beyond prototyping for 2008.
We will have two G5 Challengers at SEMA but are now ready to pursue an
exciting and unique program for Dodge Dealers.
Enclosed is the information to sign on your dealership as an authorized
G5 Challenger dealer. It is the Group 5
mission to do the conversions through sales from its network of authorized
dealerships.
How your dealership benefits:
Group 5 will continue to pursue marketing
opportunities and displays for the G5 Challenger including a current exclusive
endorsement from legendary T/A race series legend Sam Posey in association with
the Parkinson’s Foundation. Mr. Posey
will be at our SEMA booth and currently serves on the editorial staff of Road
& Track. Tentative marketing plans
for displays at LA Auto Show and Barrett Jackson are in progress. Your
dealership will be continuously referred to as an authorized dealer and
customer inquiries to the Group 5 office within your geographical area will be
referred to your dealership.
G5 Challenger Models
G5/S Styling
This package focuses on the
styling upgrades of the G5 Challenger including upgrades to front and rear valances,
dual front grills and updated rear wing. The customer can then select from three
composite hood styles including a flat, Shaker and T/A inspired hood. The G5 interior will included upgraded seat
inserts and interior accessories. A
suspension modification will give the car a lower profile and the final touch
on this G5 Styling package is the customer selection of custom “old school” paint
colors.
Dealer Incentive $2,000.00 per vehicle
G5/S Sport
This package includes all of
the above styling modifications plus a sport tune to the engine including
headers, intake and electronic chip upgrade.
Dealer Incentive $2,000.00 per vehicle
G5/SC
This package includes the
entire Sport package with the addition of a Supercharger. To ensure excellent performance of the entire
vehicle the addition of enhanced suspension package is included with the G5/SC
build.
Dealer Incentive $2,200.00 per vehicle
G5 Posey Edition
This package includes all of
the features of a G5/SC with a rear seat delete and functional side exit
exhaust. The custom paint is a sublime
#77 tribute and comes with a numbered special edition plaque from Group Five. All G5 Posey Edition vehicles yield a
$1000.00 donation to the Parkinson’s Foundation. Dealer Incentive $2,200.00 with $500 to Parkinson’s Foundation
matched by $500.00 from Group Five Limited.

G5/R
This is a special order
vehicle for race applications only. No
pricing package for G5/R is included in this package, as this is a special
order item. Available G5/R conversions
include Twin Turbo and custom engine applications. Dealer incentive made on individual order
basis but is at a $2200.00 minimum.
PRELIMINARY G5 Challenger
DEALER AUTHORIZATION AGREEMENT
THIS AGREEMENT (the
"Agreement"), made and entered into as of this 1st Day of
October, 2008, by and between Group 5 Limited of
GENERAL PROVISIONS
1. Business Purpose. The
business of the contract shall be to authorize DEALER to sell G5 Challenger
conversion packages. The sign on fee for
the DEALER is $1000.00US, without exclusive territory. Group5 will credit the DEALER $500.00 on the
second conversion package ordered from Group5.
(The $500.00 deduction shall be credited in the final payment of the
conversion.) An addendum to this
agreement shall be made for dealers who desire exclusive geographically
territory upon initial signup.
Absolutely no refunds of dealer sign on fees will be issued for any
reason.
2. Record Keeping. Both
parties shall keep adequate books and records at its place of business, setting
forth a true and accurate account of all business transactions arising out of
and in connection with the conduct of the contract. Group5 and DEALER agree to
hold confidential any and all customer information and contracts between
parties
3. Permissions. DEALER is
authorized to use the name "G5 Challenger" in connection with the
business operated by the Dealer at the above location, and to use the G5
Conversion vehicles trademark and other trademarks and service marks belonging
to or registered by the Company and to prominently display the G5 Conversion
vehicles group identification sign and emblem in connection with said business.
Group5 is authorized to use the dealership name and internet link information
for promotional purposed related to the G5 Challenger.
4. Mutual Commitment. This Agreement imposes
responsibilities on both parties to do their best to promote and strengthen the
sales of G5 Challengers. Group5 will support and assist the DEALER and DEALER
will continue to invest in your Dealership and remain committed to the Group5.
OBLIGATIONS OF PARTIES TO
CONTRACT
Group5 is expected to
produce and install the G5 Challenger conversion packages as specified in the
sales contract presented from the DEALER. DEALER will handle all customer funds and
DEALER is responsible to pay Group5 for conversion as outlined in sales
order. Failure to pay Group5 as outlined
in sales agreement can and will result in delays in customer conversion, late
payment or storage fees and possible dissolution of sales agreement and/or
dealer authorization agreement.
CONVERSION PAYMENT TERMS
After arrangements are made
to deliver a vehicle to the Group5 manufacturing site with a sales contract a
payment of 50% of the total DEALER price of the conversion package is due. The conversion listed in the sales order will
not be initiated until this payment is received. If the DEALER does not make this payment within
3 business days from notification that the vehicle has arrived at the Group5
manufacturing site or is ready for return delivery a
$50.00/day storage fees will
be initiated. Upon completion of
conversion, vehicle will NOT be loaded on return carrier until the remaining
balance is paid in full and any and
all delays or additional transportation fees will entirely be the
responsibility of the DEALER.
ADVERTISING
Group5 will provide the
dealer with initial customer marketing materials upon acceptance of this
agreement. Future marketing materials
must be purchased or approved through Group5.
Any print media, television or internet advertising by the dealership
that specifically targets the G5 conversion package must be approved through
Group5. Failure to approve marketing
material may result in immediate termination of dealer authorization agreement
with. Group5 will continue to promote the G5 Challenger through all available
opportunities and refer customers within the authorized dealer network by
geographic territory. Group5 reserves the
right to refer any customer more than 50 miles from any authorized dealership
to any DEALER.
PAYMENT OF
SHIPPING EXPENSES
Vehicle shipping expenses
shall be outlined by each party and agreed prior to accepting an order for a
vehicle. Group5 shall never be responsible directly or indirectly for transport
expenses or insurance of any DEALER ordered vehicle.
CONVERSION PRICING
DEALER agrees that they
accept the Group5 dealer incentive package. DEALER further agrees that they
will not “mark up” the pricing on the conversion package and will offer each
and every customer the same pricing on the conversion. If DEALER chooses at any time to “mark up” or
“market adjust” the conversion package price Group5 reserves the right to immediately
terminate the DEALERS authorization to sell the Group5 conversion
packages. Group5 encourages the DEALER
to sell the base Challenger vehicle to the retail customer at, and not above
MSRP. It is agreed that reasonable and
verifiable fees for transport may need to be charged by dealer to the
customer. Group5 reserves the right to
request a copy of final invoice to customer at any time from DEALER, which the
dealer must provide within 5 business days of request.
TERM OF THE AGREEMENT
This contract shall commence
on the date first above written and shall continue for one year. Group5 reserves the right to review sales of
conversion packages after one year and has final authority to renew the
DEALER’s contract. Renewal process
should be initiated 90 before contract completion date and Group5 will make
ever effort to process renewal 30 days before contract completion date. DEALER
may choose, after the sale of four (4) conversion packages to request
exclusivity to their geographical territory.
INDEMNIFICATION OF THE
PARTIES
The parties to this
Agreement shall have no liability to the other for any loss suffered which
arises out of any action or inaction if, in good faith, it is determined that
such course of conduct was in the best interests of the sales contract and such
course of conduct did not constitute negligence or misconduct. The parties to
this Agreement shall each be indemnified by the other against losses,
judgments, liabilities, expenses and amounts paid in settlement of any claims
sustained by it in connection with the sales contract.
APPLICABLE LAW AND VENUE
This Agreement shall be
construed and enforced under the laws of the State of
Other Instruments. The
parties agree that they will execute each such other and further instruments
and documents as are or may become reasonably necessary or convenient to
effectuate and carry out the purposes of this Agreement. DEALER will be provided the information for
warranty registration of supercharged vehicles through Arizona Speed & Marine,
where applicable and legal. Group5 does
not provide, express or imply any warranty on any modifications made in the G5
Challenger conversion.
IN WITNESS WHEREOF, the
parties hereto have executed this three page Agreement as of the day and year
